Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and The Comedy Addict LLC (“Chuckle,” “Comedy Addiction,” “we,” “us,” or “our”). These Terms govern your access to and use of: (i) our mobile application(s) (the “App”); (ii) our website at www.comedyaddiction.com (the “Site”) and our full Terms page at https://comedyaddiction.com/terms; and (iii) any related content, features, community tools, and services we provide (collectively, the “Services”).

BY ACCESSING OR USING THE SERVICES, YOU AGREE TO THESE TERMS. If you do not agree, do not use the Services.

1. Who We Are

Chuckle is an entertainment platform that delivers a curated feed of stand-up comedy clips from working comedians. We may offer channels or categories such as Viral, Standup, and Open Mic, plus features like saving/bookmarking clips, comedian profiles, comments, following, and subscriptions (including Chuckle Premium).

2. Eligibility; Minor Users

Minimum age. You must be at least 13 years old to use the Services.
Age of majority. If you are under the age of majority where you live, you may use the Services only with the consent of a parent or legal guardian who agrees to these Terms.
Representation. You represent and warrant that you meet these eligibility requirements and that your use complies with all applicable laws and regulations.

3. Accounts; Security

Account creation. You may need an account to access certain features (e.g., submitting clips, commenting, following, saving/bookmarking, or subscribing).
Accurate information. You agree to provide accurate and complete information and keep it updated.
Account security. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly at hello@comedyaddiction.com if you suspect unauthorized access or a security incident.
One person, one account (typical). We may limit users to one account or otherwise restrict account creation to reduce abuse and spam.
Account ownership. Accounts are not transferable without our prior written consent.

4. Our Services; Changes; Availability

No guarantee of availability. The Services may be interrupted, delayed, or unavailable from time to time.
Service changes. We may add, remove, or modify features, content, and functionality at any time, including imposing limits on certain features (e.g., saves) or changing channel organization, without liability.
Beta features. Some features may be offered as beta or preview and may not function correctly.

5. Community Features; Acceptable Use

You agree to use the Services responsibly and not to:

Break the law or encourage illegal conduct.
Violate others' rights, including privacy, publicity, copyright, trademark, or other intellectual property rights.
Harass or harm others, including hate speech, threats, targeted harassment, or doxxing.
Post or transmit malware or attempt to interfere with the Services' security, integrity, or performance.
Scrape or automate. Use bots, spiders, scrapers, or other automated means to access or collect data from the Services except as expressly permitted in writing by us.
Circumvent restrictions (including subscription limits, paywalls, or technical measures).
Reverse engineer or attempt to derive source code or underlying ideas of the App or Services except to the extent such restriction is prohibited by law.
Impersonate any person or entity or misrepresent your affiliation.
Use the Services to compete with us or to develop, train, or improve competing products (including machine learning models) using content or data from the Services, except with our express written permission.

We may remove content, restrict visibility, or take enforcement actions at any time to protect users and the platform.

6. User Content (Uploads, Submissions, Comments)

The Services may allow you to upload, submit, or otherwise make available videos, audio, images, text, comments, links, and other materials (collectively, “User Content”).

6.1 Ownership

As between you and Chuckle, you retain your ownership rights in your User Content, subject to the license you grant to us below and any third-party rights.

6.2 License You Grant to Chuckle

By submitting or making User Content available through the Services, you grant to Chuckle a non-exclusive, worldwide, royalty-free, fully paid, sublicensable, transferable license to:

host, store, reproduce, distribute, transmit, publicly perform, publicly display, publish, adapt, edit (for technical formatting, accessibility, or moderation), translate, create derivative works of, and otherwise use your User Content;
in connection with operating, improving, and promoting the Services and Chuckle/Comedy Addiction (including marketing and showcasing clips, comedian profiles, and community highlights);
in any media formats and through any media channels now known or later developed.

Duration. This license continues until you remove the User Content from the Services; however, (a) it may continue for a reasonable time for backup, archival, and technical purposes, and (b) it may continue to the extent your User Content has been shared with others and they have not deleted it (e.g., comments, reposts, or saves where applicable).

6.3 Your Responsibilities and Warranties

You represent and warrant that:

you own or have all necessary rights, licenses, consents, and permissions to submit and use your User Content as contemplated by these Terms;
your User Content does not violate any law, third-party rights, or contract, and does not contain malware;
if your User Content includes music, video, images, or other third-party material, you have secured all necessary clearances (including synchronization, master, public performance, and neighboring rights where applicable);
any individuals appearing in your User Content have provided all necessary consents and releases (including for name/likeness where applicable).

6.4 Content Standards; Moderation

We may (but are not obligated to) monitor, review, or remove User Content. We may remove or restrict content that we believe violates these Terms, is harmful, or could create legal risk. We do not guarantee that all objectionable content will be removed.

6.5 Feedback

If you provide ideas, suggestions, or feedback about the Services (“Feedback”), you grant us an unrestricted, perpetual, irrevocable, worldwide, royalty-free license to use that Feedback for any purpose without compensation to you.

7. Comedian Submissions; Promotions; Featuring

Submissions are not guaranteed. If you submit a clip or profile for consideration, we do not guarantee publication, distribution, featuring, or any level of exposure.
Editing and formatting. We may crop, compress, transcode, add captions, or otherwise modify content for technical, accessibility, and formatting reasons, while aiming not to distort the comedic substance.
Creator tools. Any analytics, metrics, or audience tools are provided “as is” and may be changed at any time.

8. Intellectual Property (Our Content and Brand)

Our IP. The Services, including the App, Site, software, design, logos, trademarks, and all content we provide (excluding User Content) (collectively, “Chuckle Content”) are owned by or licensed to The Comedy Addict LLC and are protected by intellectual property laws.
Limited license to you. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use.
Restrictions. You may not copy, modify, distribute, sell, lease, or create derivative works from Chuckle Content except as expressly permitted by us in writing.

9. Copyright (DMCA) and Intellectual Property Complaints

9.1 DMCA Notice

If you believe content on the Services infringes your copyright, send a written DMCA notice to our designated agent at:

Include:

identification of the copyrighted work claimed to be infringed;
identification of the allegedly infringing material and its location (URL or sufficient information to locate it);
your name, address, telephone number, and email address;
a statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law;
a statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf;
your physical or electronic signature.

9.2 Counter-Notification

If your content was removed due to a DMCA notice and you believe it was removed by mistake or misidentification, you may submit a counter-notification to the same email address with the information required by 17 U.S.C. § 512(g).

9.3 Repeat Infringers

We may terminate accounts of repeat infringers in appropriate circumstances.

10. Subscriptions, Purchases, and Billing (Chuckle Premium)

These Subscription Terms are part of and incorporated into these Terms of Service.

We may offer paid features such as Chuckle Premium. Chuckle Premium features may include: ad-free browsing, unlimited Comedy Vault saves, HD uploads, Pro profile badge, and early access to new comedians (as described at signup and subject to change).

Third-party billing. Purchases may be processed by the Apple App Store or other third-party platforms. Their terms and policies also apply.
Pricing and taxes. Prices and applicable taxes will be shown at checkout or at the time of purchase.
Auto-renewal. Unless canceled, subscriptions may automatically renew. Cancellation must be made through the platform used to subscribe (e.g., Apple ID subscriptions).
Free Trials and Promotional Offers. If you receive a free trial, the subscription will automatically convert to a paid subscription at the end of the trial period unless you cancel at least 24 hours before the trial ends. Eligible users only.
Cancellation. You may cancel at any time. Cancellation takes effect at the end of the current billing period. No partial refunds for the remaining period.
Price Changes. We may change subscription prices at any time. Price changes will take effect at the next renewal after notice is provided to you. If you do not agree to the price change, you may cancel before the renewal.
Refunds. Payments are generally non-refundable except as required by law or the applicable app store/provider's policies.

11. Ads and Third-Party Services

Advertising. The Services may include advertisements or sponsored content unless you are in an ad-free plan where applicable.
Third-party links and services. The Services may link to third-party websites or services (including social media). We do not control and are not responsible for third-party services.

12. Privacy

Your use of the Services is subject to our Privacy Policy available at https://comedyaddiction.com/privacy (and made available in the App and/or on the Site). If there is a conflict between these Terms and the Privacy Policy regarding data practices, the Privacy Policy will govern.

13. Termination; Suspension

By you. You may stop using the Services at any time and may delete your account where that option is available.
By us. We may suspend or terminate your access to the Services or your account at any time if we believe you violated these Terms, pose risk or harm to other users or the Services, or if required by law.
Effect. Upon termination, your right to use the Services stops. Sections that by their nature should survive will survive, including (without limitation) Sections 6 (User Content license to us to the extent applicable), 8, 9, 15, 16, 17, and 18.

14. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, secure, error-free, or that any content will be accurate, complete, or reliable.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

NO INDIRECT DAMAGES. CHUCKLE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES.
CAP. IN ALL CASES, CHUCKLE'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO CHUCKLE FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) $100.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

16. Indemnification

You agree to defend, indemnify, and hold harmless The Comedy Addict LLC and its officers, directors, employees, contractors, agents, licensors, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (i) your use of the Services; (ii) your User Content; (iii) your violation of these Terms; or (iv) your violation of any rights of another.

17. Governing Law; Venue

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. You agree that any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to personal jurisdiction and venue there, except where prohibited by law.

18. Dispute Resolution; Arbitration (U.S. Users)

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS.

Informal resolution first. Before filing a claim, you agree to try to resolve the dispute informally by emailing hello@comedyaddiction.com with a description of the issue. We will try to resolve it within 30 days.
Arbitration. Except for disputes that qualify for small claims court or where either party seeks injunctive relief for unlawful use of intellectual property, you and Chuckle agree to resolve disputes through binding, individual arbitration.
No class actions. You and Chuckle agree that disputes will be brought only in an individual capacity and not as a plaintiff or class member in any class, consolidated, or representative proceeding.
Arbitration rules. Arbitration will be administered by a recognized arbitration provider (e.g., AAA) under its consumer arbitration rules, unless the parties agree otherwise. The arbitrator may award the same damages and relief as a court could.
Location. Unless you and Chuckle agree otherwise, arbitration will take place in Los Angeles, California (or remotely).
Opt-out. You may opt out of arbitration and the class action waiver by emailing hello@comedyaddiction.com within 30 days of first accepting these Terms with the subject line “Arbitration Opt-Out” and your name and account email.

If any part of this Section is found unenforceable, the remainder will remain in effect.

19. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by posting an updated version in the App or on the Site, or by other reasonable means). Your continued use of the Services after the effective date of the updated Terms means you accept the changes.

20. Miscellaneous

Entire agreement. These Terms, together with any additional terms you agree to when using certain features, constitute the entire agreement between you and Chuckle regarding the Services.
Severability. If any provision is held invalid or unenforceable, the remaining provisions will remain in effect.
No waiver. Our failure to enforce any provision is not a waiver.
Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
Force majeure. We are not liable for delays or failures due to events beyond our reasonable control.
